The Board of Directors of the Ordre

The Board of Directors (what used to be called the “Bureau”) exercises all the rights, powers and prerogatives of the Ordre and sees to the application of the Professional Code, the Chartered Accountants Act and the related regulations. The Board of Directors' composition and electoral procedures are also governed by the Professional Code and the related regulations.

It is made up of 29 members: the Chair of the Ordre and 28 directors, of whom four are appointed by the Office des professions and 24 are elected from among the members of the Ordre residing in Québec, under rules assuring geographic representation.

The Chair of the Ordre is elected by general vote for a one-year term, renewable once and exceptionally twice, whereas the term of directors is two years. Elections are held in May of each year when one-half of the directors are replaced. Terms of office take effect at the Annual General Meeting.

The Board of Directors' satellite committees

In order for the Board of Directors to discharge its financial management responsibilities, it appoints a Finance Committee and an Audit Committee from among its members.

The Finance Committee
The Finance Committee is composed of a maximum of five members of the Board appointed by the latter. It advises the Board on all matters pertaining to the financial management of the Ordre, from approving budget policies to supervising the management of the investment portfolio.
The Audit Committee
The Audit Committee consists of three members of the Board appointed by the latter. It acts as an intermediary between the Board and the auditors appointed at the Annual General Meeting.
